THE VERDICT

Arguing today's litigation news

Color-coded hiring. DOJ says Accenture gave job candidates and employees preferences based on race and sex while its federal contracting arm certified that it didn't discriminate. The company even tracked workforce goals on monthly color-coded dashboards, according to DOJ. Accenture agreed to pay $25 million to resolve the False Claims Act allegations over those certifications. It denies the conduct, and the settlement leaves pending and future EEOC charges over the same conduct untouched.

Four-year limit on hold. A federal judge in Massachusetts postponed a rule due to take effect today that would give foreign students and exchange visitors fixed stays of up to four years, followed by extension applications to stay longer. The nationwide postponement lasts while the litigation proceeds, preserving stays tied to maintaining student status or program participation. The judge found the challengers likely to succeed because DHS hadn't adequately considered alternatives, including improving its existing student-tracking system before adding more applications.

X seeks Apple's dismissal. X and SpaceXAI sued Apple and OpenAI over their partnership to put ChatGPT on Apple devices, alleging it excluded rival chatbot developers. The two Musk companies now say they've resolved their claims against Apple and have asked the court to dismiss them with prejudice. Their case against OpenAI continues, and OpenAI wants to see the undisclosed agreement for its own defense.

THE DEAL

Wheelin' and dealin' today's corporate news

Employees can stay invested. Insurance broker Baldwin agreed to go private with Sequence Holdings and the Dell family's DFO Management for $32.50 a share in cash. Eligible employee equity holders can roll part of their stakes into the deal, leaving employees with a significant minority interest. There is no financing condition. Shareholder and regulatory approvals are still needed, with closing expected in Q1 2027.

Pay the rest later. Puig agreed to buy the other half of skincare company ISDIN for €1.2 billion, with €300 million of the bill payable interest-free in Q1 2029. The remaining €900 million is due in cash at closing. Puig would then own all of ISDIN, with closing expected in Q1 2027 subject to competition approval.

BOILERPLATE

A billion over ten years. Morgan & Morgan plans to put at least $1 billion into technology and AI over the next ten years. The plaintiffs' firm says its in-house MX2 platform extracts information from medical records and drafts documents. It plans to let other law firms use the platform by invitation only by the end of 2027.

Alright, back to billing. That's all, folks!
